Auto Drive Terms of Use

Access to Auto Drive requires authentication via a supported provider (currently Google, Discord, GitHub, or a Web3 wallet). You may maintain only one account regardless of authentication method and may not share or transfer it to others. You are responsible for all activity that occurs through your account.

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use Auto Drive or purchase Credits.

You are solely responsible for determining whether your access to and use of Auto Drive, including the purchase and use of Credits using AI3 tokens, complies with applicable laws in your jurisdiction. Auto Drive is not available to persons or entities located in, organized in, or resident of any jurisdiction subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), or to any person designated on any applicable restricted or blocked persons list.

Autonomys Labs, Inc. does not act as a money transmitter, money services business, or payment institution. The conversion of AI3 tokens to Credits represents the prepaid purchase of a storage utility service, not a financial transaction, currency exchange, or investment activity. Autonomys does not custody, broker, or transmit funds on your behalf.

You acknowledge that applicable regulations relating to digital tokens, virtual currencies, and blockchain-based services vary by jurisdiction and are subject to change. You are responsible for your own compliance with all applicable laws, including any export control, tax, or reporting obligations.

5.1 How Credits Work
‍To store data using Auto Drive, you purchase storage credits (“Credits”) using AI3 tokens. Credits represent prepaid storage capacity. They are not a currency, security, investment product, or financial instrument. Credit purchases are only available to users authenticated via Google OAuth.

‍5.2 Pricing
‍Credit pricing is derived from the per-byte storage cost published on-chain by the Autonomys Network, plus a service multiplier that covers operational costs. Prices are quoted at the time of purchase and may change between transactions.

‍5.3 Purchase Cap
‍Each account is subject to a maximum credit balance (“Purchase Cap”). The Purchase Cap is currently set at approximately 100 gigabytes of equivalent storage capacity. It is enforced at purchase time and accounts for your existing unused balance.

‍5.4 Credit Expiry
‍Credits expire ninety (90) days from the date of purchase. Upon expiry, unused Credits are automatically refunded in the number of AI3 tokens originally paid for those Credits. The fiat-equivalent value of the refunded AI3 tokens may differ from the value at the time of purchase due to token price fluctuations. Expired Credits cannot be used for storage.

‍5.5 Non-Transferability
‍Credits are bound to the account that purchased them and cannot be transferred, sold, or otherwise conveyed to any other account or person.

‍5.6 Refund of Credits
‍We reserve the right, at our sole discretion, to refund your unused Credits for the number of AI3 tokens originally paid. This is a protective measure and is not a routine user-facing feature.

‍5.7 Consumed Credits
‍Credits that have been used to store data are non-refundable.

AI3 is a cryptographic token whose market value may fluctuate. Credit pricing is denominated in storage capacity, not fiat currency. Refunds of expired Credits are denominated in AI3 tokens and returned in the number of originally paid. The fiat-equivalent value of any refund may differ from the fiat-equivalent value at the time of your original purchase due to token price fluctuations. You are solely responsible for any tax obligations arising from your use of AI3 tokens or Credits.

Credits represent a prepaid right to use the Auto Drive storage service. They are consumed upon use and confer no ownership interest, equity, profit-sharing arrangement, or governance right in Autonomys Labs, Inc., the Autonomys Network, or any related entity. Credits are not purchased with an expectation of profit derived from the efforts of others. Neither Credits nor AI3 tokens have been registered under the securities laws of any jurisdiction, and nothing in these Auto Drive Terms should be construed as an offer or sale of securities.

You may use Auto Drive only for lawful purposes. In addition to the restrictions in the General Terms, you may not use Auto Drive to store content that is illegal, infringing, or harmful, and you may not attempt to circumvent the Purchase Cap or any other service limits. We may suspend or terminate your account if you violate these Terms.

Without limiting the generality of the foregoing, you agree that you will not use Auto Drive to upload, store, distribute, or otherwise make available any of the following categories of content or engage in any of the following activities (collectively, “Prohibited Uses”):

(a) content that constitutes, depicts, promotes, or facilitates child sexual abuse material (CSAM) or the exploitation of minors in any form;
(b) malware, viruses, ransomware, spyware, trojan horses, worms, or any other malicious code or software designed to disrupt, damage, or gain unauthorized access to any computer system, network, or data;
(c) content that infringes, misappropriates, or otherwise violates any third party’s intellectual property rights, including copyrights, trademarks, trade secrets, or patents;
(d) content that promotes or facilitates terrorism, violent extremism, or the recruitment or radicalization of individuals for terrorist activities;
(e) content that facilitates the sale, purchase, or distribution of illegal drugs, controlled substances, illegal weapons, or other contraband;
(f) content that is defamatory, libelous, threatening, harassing, abusive, or that constitutes an invasion of another person’s privacy or publicity rights;
(g) personal data, protected health information, financial account information, or other sensitive data of third parties collected, stored, or processed without the data subject’s valid consent or without a lawful basis as required under applicable data protection laws;
(h) content that is subject to export controls, economic sanctions, or trade restrictions under applicable law, including the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulations (EAR), unless you have obtained all required governmental authorizations;
(i) content used for phishing, fraud, identity theft, social engineering, or any other deceptive schemes;
(j) content or activity that is designed to circumvent, disable, or interfere with the security, integrity, or operation of Auto Drive, the DSN, or the Autonomys Network, including any attempt to bypass the Purchase Cap, rate limits, or other service restrictions; and
(k) any other content or activity that violates applicable local, state, national, or international law or regulation.

We reserve the right, but have no obligation, to review, monitor, or remove any content that we reasonably believe violates this Section 7 or poses a risk to the safety, security, or integrity of Auto Drive, its users, or third parties. Violation of any of the Prohibited Uses may result in immediate suspension or termination of your account, forfeiture of any remaining Credits, and referral to appropriate law enforcement authorities where required by law.

If we receive a valid takedown request (including under the Digital Millennium Copyright Act) or become aware that stored content violates applicable law, we will take reasonable steps to restrict access to such content through the Auto Drive gateway. However, due to the decentralized and immutable nature of the DSN, content that has been written to the network cannot be deleted or modified by Autonomys. You acknowledge this limitation and accept sole responsibility for ensuring that any data you upload complies with all applicable laws, including copyright and intellectual property laws, prior to upload.

You retain ownership of the data you upload. We claim no intellectual property rights over your data. By uploading data to Auto Drive, you grant Autonomys a limited, non-exclusive, royalty-free license to store, transmit, cache, and process your data solely as necessary to operate Auto Drive on your behalf. This license terminates when you delete the data from your account or your account is terminated, subject to the DSN persistence acknowledgment in Section 9.

Your use of Auto Drive is subject to the Autonomys Privacy Policy available at https://www.autonomys.xyz/privacy-policy (“Privacy Policy”), which describes the personal data we collect, how we use it, your rights regarding that data, and our data protection practices.

In operating Auto Drive, we process certain personal data including authentication credentials, account identifiers, wallet addresses, usage data, and transaction records. We process this data as necessary to provide the service, as described in the Privacy Policy.

We will notify you of any data breach affecting your personal data in accordance with applicable law, including without limitation the requirements of the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA), to the extent applicable.

Upon account termination, we will delete or anonymize your personal data in accordance with the Privacy Policy, subject to any retention obligations required by law. You acknowledge that data previously written to the DSN will persist on the network beyond account termination due to the decentralized and immutable nature of the storage infrastructure, and that Autonomys will not have the ability to delete such data from the network.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising from your use of Auto Drive shall not exceed the lesser of: (a) the fiat-equivalent value (in U.S. dollars) of AI3 tokens paid by you for Credits in the twelve (12) months preceding the claim, calculated using the market price of AI3 at the time each payment was made; or (b) five thousand U.S. dollars ($5,000). We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or token value. The limitations in this section do not apply to liability arising from our willful misconduct or gross negligence. The limitations and exclusions in this section do not affect or take precedence over liability that cannot be limited or excluded under applicable law.

11.1 Informal Resolution
‍Before initiating any formal proceedings, you agree to contact us at [email protected] and attempt to resolve any dispute informally for at least thirty (30) days. Before initiating any formal proceedings against you, Autonomys agrees to use reasonable efforts to notify you and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute cannot be resolved informally, either party may proceed as described below.

‍11.2 Binding Arbitration
‍Any dispute, claim, or controversy arising out of or relating to these Auto Drive Terms or your use of Auto Drive that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Santa Clara County, California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

‍11.3 Class Action and Jury Trial Waiver
‍You and Autonomys each agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You and Autonomys each waive the right to a trial by jury.

‍11.4 Small Claims Exception
‍Notwithstanding the foregoing, either party may bring an individual action in small claims court in Santa Clara County, California, provided that the action falls within the court’s jurisdictional limits.

‍11.5 Limitation on Time to File Claims
‍Any cause of action or claim arising out of or relating to these Auto Drive Terms or your use of Auto Drive must be commenced within one (1) year after the cause of action accrues. Any claim not filed within this period is permanently barred.

‍11.6 Governing Law
‍These Auto Drive Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

AUTO DRIVE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AUTO DRIVE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA STORED WILL BE ACCURATE, RELIABLE, COMPLETE, OR ACCESSIBLE AT ANY TIME. THE DISCLAIMERS IN THIS SECTION DO NOT AFFECT OR TAKE PRECEDENCE OVER WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Autonomys Labs, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of Auto Drive; (b) your violation of these Auto Drive Terms or any applicable law; (c) your violation of any third-party rights, including intellectual property rights; or (d) any data or content you upload, store, or transmit through Auto Drive.

For California residents: You acknowledge that you have read and understand Section 1542 of the California Civil Code, which reads: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You hereby expressly waive and relinquish all rights and benefits under that section and any law of any jurisdiction of similar effect with respect to any claims you may have against the Company.

Autonomys will provide prompt written notice of any claim for which it seeks indemnification and will cooperate reasonably in the defense. You will have the right, at your expense, to assume control of the defense of any such claim with counsel of your choosing, provided that Autonomys may participate with counsel of its own choosing at its own expense. You may not settle any claim that imposes obligations on Autonomys without Autonomys’ prior written consent.

14.1 Force Majeure
‍We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, network or blockchain outages, congestion, or protocol changes affecting the Autonomys Network or the DSN. We will provide prompt notice through the Auto Drive application upon becoming aware of a force majeure event affecting the service, and will use reasonable efforts to mitigate its effects. If a force majeure event prevents us from providing the service for more than sixty (60) consecutive days, either party may terminate these Auto Drive Terms upon written notice, and any unused Credits will be refunded in accordance with Section 5.6.

‍14.2 Severability
‍If any provision of these Auto Drive Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

‍14.3 Entire Agreement
‍These Auto Drive Terms, together with the General Terms and the Privacy Policy, constitute the entire agreement between you and Autonomys with respect to Auto Drive and supersede all prior or contemporaneous agreements, understandings, or representations relating to Auto Drive.

‍14.4 Assignment
‍You may not assign or transfer these Auto Drive Terms or any rights hereunder without our prior written consent. We may assign these Auto Drive Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

‍14.5 Waiver
‍The failure of either party to enforce any provision of these Auto Drive Terms shall not constitute a waiver of that party’s right to enforce that provision or any other provision in the future.
