Please be aware that we may have little or no control over the Tools or associated blockchain and smart contract technology and such Tools are likely to be locally run by you and not operated by the Company. 7. Disclaimer on Blockchain Transactions and Digital Assets
The Site is not intended to facilitate or provide direct access to blockchain or digital asset transactions. Instead, it offers tools that users can interact with, which may be relevant to blockchain transactions. The Company does not custody digital assets, and users are solely responsible for managing their own funds, protecting their keys, and securing seed phrases for any digital or hardware wallets they may use. Any losses suffered by you resulting from loss of control of, disclosure or unauthorized use of your digital keys is solely your responsibility you indemnify and hold us harmless against any claims or losses arising from your loss of the digital keys to your wallet or their use, whether or not resulting in any losses and whether fraudulent or not, by third parties.
8. No Fiduciary Relationship; No Financial Advice
The Company is not your agent, advisor, or custodian. No fiduciary relationship exists between you and the Company as a result of your use of the Site or any services provided through it. No financial, investment, tax, legal or securities advice is given through or in connection with the site or the tools. 9. Responsibility for Blockchain Interactions
You are solely responsible for your interactions with blockchain technology. The Company does not control or assume responsibility for any aspect of these interactions, including any transactions you may engage in using blockchain tools accessed through the Site.
10. Tools and User Responsibility
The Site may provide various Tools. However, the Company does not control these tools and disclaims all liability arising from your use of them. You may be required to provide certain registration information, such as a username, password, and/or wallet address, to use these tools. It is your responsibility to ensure that this information is accurate and secure.

The Company reserves the right to monitor, censor, or remove User Contributions at its sole discretion. This includes content that violates these Terms, content standards, or any applicable laws, or that the Company deems inappropriate for any reason.

For California residents: You also acknowledge that you have read and understand Section 1542 of the California Civil Code which reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release ad that if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You hereby expressly waive and relinquish all rights and benefits under that section and any law of any jurisdiction of similar effect with respect to any claims you may have against the Company.
18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Santa Clara County, CA. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
We may terminate or suspend your access to the Site immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Site will immediately cease.
20. Geographic Restrictions
The Site, including the Tools or other related content, may not be accessible or appropriate in particular locations. Access to the Site and using the Tools may not be legal by certain persons or in certain countries.
At our or our service providers’ sole discretion, as applicable, we or they may require that any dispute, controversy, or claim arising out of or relating to these Terms or the Site be resolved through final and binding arbitration in Santa Clara County, California under the rules of the American Arbitration Association. No waiver by Company of any term or condition set out in these Terms of Use serves as a continuing waiver and any failure of Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
These Terms constitute the entire agreement between you and Autonomys Labs, Inc. regarding the use of the Site and supersede any prior agreements between you and us regarding the Site.
